Terms of Service

The terms and conditions governing your use of the Relay platform.

Plain English summary:You get access to Relay's infrastructure to build real-time features. You own your data. You pay for what you use. Don't abuse the platform. We can terminate accounts that violate these terms.

1. Acceptance of terms

By creating an account, accessing the Relay API, or using any Relay services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you must not accept these Terms.

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days in advance. Continued use after that date constitutes acceptance of the updated Terms.

2. Description of services

Relay provides a managed real-time communication platform delivered via REST API, including:

  • Managed WebRTC video and audio rooms (halls)
  • Automatic session recording to your designated S3-compatible storage
  • AI-powered content moderation powered by Google Cloud Video Intelligence
  • Clip extraction from completed recordings
  • Signed webhook event delivery
  • A web-based management dashboard

Specific features may be restricted by your subscription plan. We reserve the right to modify, add, or discontinue features with reasonable notice.

3. Accounts and organisations

Account creation

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at security@relay.dev if you suspect unauthorised access.

API keys

API keys are credentials that grant full access to your organisation's resources. You are responsible for keeping them secret. Do not embed API keys in client-side code, mobile applications, or public repositories. We are not liable for any damages arising from your failure to secure your API keys.

Team members

You may invite team members to your organisation. You are responsible for their compliance with these Terms. You can revoke access at any time from the dashboard.

4. Acceptable use

You agree to use the Services only for lawful purposes. You must not use the Services to:

  • Transmit or store content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Violate any applicable laws or regulations, including those governing privacy and data protection
  • Attempt to gain unauthorised access to Relay's systems or other organisations' data
  • Reverse-engineer, decompile, or attempt to derive the source code of the platform
  • Use the Services to build a competing product without prior written consent
  • Conduct denial-of-service attacks or engage in any form of network abuse
  • Exceed plan limits in a manner designed to circumvent billing
  • Transmit viruses, malware, or other malicious code

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice, depending on the severity of the violation.

5. Billing and payment

Promotional period

Starter and Growth plans begin with a 60-day promotional period, paid as a one-time fee (Starter: $350, Growth: $500). After 60 days, your subscription transitions automatically to the monthly plan. No separate action is required.

Monthly subscription

After the promotional period (or immediately for plans without a promo), you are billed monthly in advance via Stripe. The billing date is the anniversary of when your subscription started.

Usage-based charges

Participant-minutes consumed above your plan's included amount, and AI moderation costs, are calculated at the end of each billing period and added to your next invoice. Overage rates are shown on the pricing page.

Payment failure

If a payment fails, we will retry according to Stripe's standard dunning schedule. If payment cannot be collected after multiple attempts, we may suspend your account. You will receive email notice before suspension.

Minimum commitment

By subscribing to a promotional plan, you commit to a minimum of three months of service (two promotional months + at least one standard billing month). Early termination within this period may result in an early termination fee equivalent to the remaining commitment.

Refunds

All fees are non-refundable except as required by applicable law. If you believe you have been charged in error, contact billing@relay.dev within 30 days of the charge.

6. Data ownership and processing

Your data

You retain full ownership of all data you submit to the platform, including hall configurations, participant identifiers, and metadata. You own all recordings and clips uploaded to your storage infrastructure.

Relay as data processor

For any personal data of your end users that passes through Relay, we act as a data processor on your behalf. You are the data controller and are responsible for ensuring you have a lawful basis for processing that data and for informing your users accordingly.

No media retention

Relay does not store, inspect, or retain media content. All recordings are written directly to storage you configure and control. Relay only retains operational metadata (duration, status, file path) required for billing and support.

Licence to operate

You grant Relay a limited, non-exclusive licence to process your data solely to the extent necessary to provide the Services described in these Terms.

7. Intellectual property

Relay and its licensors own all right, title, and interest in the platform, including all software, documentation, and trademarks. These Terms do not grant you any rights to Relay's intellectual property except the limited licence to use the Services.

You retain all intellectual property rights in the applications and products you build using the Relay API.

8. Uptime and SLA

Relay targets 99.9% monthly uptime for API endpoints and media infrastructure. Scheduled maintenance windows are announced at least 48 hours in advance. In the event of verified downtime exceeding the SLA commitment, customers on active paid plans may be eligible for a service credit applied to future invoices. Enterprise plans may negotiate custom SLA terms.

9. Disclaimers and limitation of liability

Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

IN NO EVENT SHALL RELAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify and hold harmless Relay and its officers, directors, and employees from any claims, damages, and expenses arising out of your use of the Services or your violation of these Terms.

10. Termination

Termination by you

You may cancel your subscription at any time from Dashboard → Billing → Cancel. Your account remains active until the end of the current billing period. Account deletion is available from Dashboard → Settings → Delete Account.

Termination by Relay

We may suspend or terminate your account immediately for material breaches of these Terms, including non-payment. For non-material breaches, we will provide at least 14 days' notice and an opportunity to remedy.

Effect of termination

Upon termination, your access to the Services ceases. We will delete your account data within 30 days, except where retention is required by law. Sections relating to intellectual property, indemnification, limitation of liability, and governing law survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Delaware. Each party shall bear its own costs. Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction.

12. General provisions

These Terms, together with the Privacy Policy and any plan descriptions, constitute the entire agreement between you and Relay regarding the Services. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in force. Failure to enforce any right does not constitute a waiver. You may not assign your rights under these Terms without our prior written consent.
